Summary:
Reporting to the Chief Administrative Officer, Executive Vice President and General Counsel, Postmedia's Legal Department is looking for a talented corporate / commercial lawyer based in Toronto to join its close-knit and collaborative legal team. This position will have primary responsibility for:
Corporate, securities and governance compliance matters,
Compliance with indentures and ABL,
Supporting transactions, and
Advising on and negotiating a variety of commercial matters, including joint ventures and content licenses.
Working closely with the board of directors and senior management, this role provides the benefits of working within an established legal group while servicing a dynamic and innovative business. As with all positions in the Legal Department, the position acts as an ambassador for the department throughout the organization.
Duties:
Take a lead role in assessing corporate opportunities and executing M&A transactions.
Work closely with the Finance team to ensure compliance with debt and banking covenants.
Corporate secretarial work including advising board and senior management on governance matters and overseeing management and board preparation for board materials including agenda design and materials preparation.
Provide legal guidance with respect to securities filings and compliance requirements, competition guidelines and other regulatory matters as well as internal corporate policies.
Draft and negotiate a variety of contracts including joint-venture agreements, service agreements, content licenses, purchase agreements, etc.
Support the Human Resources and Finance departments in respect of equity-based compensation arrangements.
Liaise with a number of internal and external stakeholders including senior management, directors, external counsel, notes trustees and shareholders; and
Advise on strategic partnership arrangements and other innovative projects, supporting the commercial operations team.
Qualifications:
3 to 5 years’ experience since their Call to the Ontario Bar within a major law firm or corporate legal department.
Good standing as a member of the Law Society of Upper Canada.
Strong experience in corporate, securities, transactions and/or commercial law.
An inquisitive and positive attitude, sound judgement even in ambiguous situations and a strong interest in being a true partner and service provider to the business.
Ability to work both independently and as part of a closely knit and supportive team.
Integrity and strong work ethic.
Excellent organizational skills and ability to juggle competing demands in an extremely fast-paced and changing work environment; and a strong ability to collaborate and provide value added advice to the business.
Excellent analytical and communication skills.
