Overview


The Securities and Corporate Counsel provides comprehensive securities and corporate law advice to the company and its legal and finance teams, oversees outside counsel, and performs a wide variety of legal duties. The individual is self-motivated, professional, and capable of managing their workload as well as assisting with team workloads, and proactively prioritizes tasks in a fast-paced environment. 


Essential Functions and Responsibilities


  • Lead the company’s U.S. securities law function including U.S. Securities and Exchange Commission (SEC) and Financial Industry Regulatory Authority (FINRA) matters.
  • Work closely with the legal and finance functions, and manage outside counsel when needed, on the preparation of filings with the SEC, particularly reports on Form 10-Q, Form 10-K, and Form 8-K, as well as registration statements, prospectus and prospectus supplement documents, Section 13, and executive disclosures including Section 16 reports (including Forms 3 and 4).
  • Assist with management of the company’s insider trading policy and training of staff on this policy, oversight of corporate records for the parent and subsidiaries, management of equity plans and capital structure, and completion of annual or quarterly documentation such as directors and officers questionnaires, related party disclosures, auditor legal letters, and certifications.
  • Assist the finance and legal teams with internal compliance programs related to the Sarbanes-Oxley Act of 2002 and other similar laws and regulations.
  • Closely monitor SEC regulations and Delaware corporate law and prepare for any forthcoming changes that may affect the company, including providing advice to the company’s executives and legal and finance functions.
  • Work closely with external auditors on securities filings.
  • Advise on intracompany transactions and corporate structure, and draft and revise intracompany agreements for the company’s subsidiaries, working with outside counsel in multiple international jurisdictions where needed and working with the company’s finance team as well as outside legal, accounting, and tax advisors.
  • Oversee corporate governance for the parent company and for the subsidiary companies and maintain companies in good standing in each jurisdiction where business is conducted.
  • Support the Corporate Secretary in day-to-day operations, ensuring efficient and accurate management of corporate records, documents, and filings. Establish and maintain effective processes and systems to support compliance with legal and regulatory requirements.  Assist with the maintenance of corporate minutes and consents.
  • Assist with annual stockholders’ meetings for the parent company, including proxy statement filings, and equivalent meetings for international subsidiaries.
  • Assist with management of the company’s Disclosure Committee.
  • Collaborate with Investor Relations, Human Resources and legal team to develop and implement strategies for effective stockholder communications and engagement.
  • Make judgments and recommendations to ensure smooth day-to-day operations of securities reporting at the company.
  • Assist litigation counsel as needed in securities and corporate litigation matters and oversight of management liability insurance matters.

 

Required Education, Skills, and Knowledge


  • 5+ years of experience in U.S. securities law for public companies, including expertise in the Securities Act of 1933, the Securities Exchange Act of 1934, and the Sarbanes-Oxley Act of 2002.
  • 5+ years of experience in corporate law, with an emphasis on Delaware law.
  • International corporate legal experience is a plus but is not required.
  • Juris doctor degree from an accredited U.S. law school and an active bar admission in at least one U.S. state.
  • In depth knowledge of Microsoft Excel, Word, PowerPoint, and Outlook.
  • Excellent interpersonal, oral, and written communication skills.
  • Excellent writing, proofreading, and editing skills.
  • Sounds judgement in handling highly sensitive and confidential information.
  • Comfortable in a fast-paced environment with minimal direction and changing priorities.
