About The Role

Veralto is seeking a Human Resources M&A Leader to contribute to the mission of the Talent & Diversity team, which is to build and sustain an equitable enterprise talent ecosystem, growing our associates, enabling them to deliver accretive business results. The role will be remote with the expectation to travel 15-30% of the time based on business needs.

This role will drive Veralto’s HR M&A due diligence, initial integration planning processes and be a key member of the team in supporting M&A for Veralto. This role will work in tandem with internal and external partners to support a heavy level of due diligence (acquisition or minority investment) and/or divestiture related projects and early and mid-stage HR integration planning to deliver effective, efficient, and consistently high-quality support to our deal teams.

Your Responsibilities

  • Lead Strategy, roadmap and planning for HR M&A (Due diligence to Integration) including research and consultation with external vendors.

  • Leads design, development and enhancement of HR M&A standard work supported with deep external insights and in alignment with overall M&A standard work managed by Corporate Development.

  • Ensure's alignment with Corporate development, Labor and Employee relations, Legal, Communications on M&A Standard work for both acquisition and divestiture.

  • Builds capability, coaches OpCo HR teams on M&A deals, leads training on Veralto’s due diligence and deal process to Business HR leads to develop world class HR M&A and integration capabilities for Veralto.

  • Leads critical analyses based on that data and other information provided during diligence in order to determine:

    • additional cost drivers or synergies impacting deals financial model,

    • understand employee deal proceeds/equity waterfall (to aid in determining retention risks and mitigation plans),

    • headcount growth/synergies planning for a deal, and

    • other varied quantitative analyses in support of HR M&A.

  • Partners with Talent & Diversity team to establishes process to enhance Veralto’s M&A talent pipeline identification, development and advancement.

  • Work closely with the Veralto Total Rewards team to ensure that critical compensation and benefit risks for acquisitions & divestitures are identified and quantified, and contribute to effective transition plans, according to business needs and Veralto standards and strategy.

  • Ensure that all material HR financial risks, costs and synergies are picked up in HR M&A standard work and in the HR Due Diligence report, to ensure inclusion in the deal’s ROIC and financial model.

  • Partner with Veralto L&E to ensure all key employment issues are identified and an agreed upon path is determined, as well as all employee agreement and retention materials are developed and delivered timely.

  • Partner with Corporate Development and L&E in review of purchase agreements, disclosure schedules and other deal related legal documents for concerns and critical edits related to HR.

  • Assist Business HR lead and Acquisition HR in review of communication plan and materials, ready to launch at signing and closing (including employee FAQs, town hall presentations). This includes the process of ensuring cultural readiness and integration on the part of the new company.

  • Support Business HR Integration Lead and Acquisition HR in their integration planning, using our standard work tools and process – along with appropriate hand offs to other Corporate HR resources (i.e. Corporate Benefits, Corporate Compensation/Equity, HR Operations).

Job Requirements

The essential requirements of the job include:

  • Bachelor's in business management or human resources

  • Over all 8-10+ years of HR leadership experience in Workforce and Org Planning, Total rewards function. Of which, minimum 3+ years of M&A HR experience in leading HR due diligence, integrations independently.

  • Finance and Organization acumen to partner with business teams on Make vs Buy decisions.

  • Skilled project management with superior planning and communication skills to prioritize and high agility to manage several priorities and changes.

  • Strong Relationship Management with focus on team-orientation; treats others with respect; and effectively works across business, regional, and functional boundaries with focus on on-time and quality deliverables

  • Be flexible to meet ad hoc deadlines on limited notice

  • Be willing to travel 15-30% as required, including internationally and occasionally on limited notice

It would be a plus if you also possess previous experience in: 

  • Experience from a Big 4 Accounting firm and/ or HR consultancy firm in M&A Coe

  • Experience in executive compensation, total rewards

The below range reflects the range of possible compensation for this role at the time of this posting. We may ultimately pay more or less than the posted range. This range may be modified in the future. An associate’s position within the salary range will be based on several factors, including, but not limited to, relevant education, qualifications, certifications, experience, skills, seniority, geographic location, performance, shift, travel requirements, sales or revenue-based metrics, any collective bargaining agreements, and business or organizational needs.

The compensation range for this role is $150,000 - $200,000 USD per year. This job is also eligible for Bonus Pay.
