We are seeking a detail-oriented and proactive Corporate Paralegal to support the Legal Department in a wide range of corporate governance, compliance, and transactional matters. This role will work closely with internal stakeholders and outside counsel to ensure the efficient and compliant operation of our corporate structure.

Key Responsibilities:

  • Entity Management: Maintain corporate records, database (CSC), and minute books; prepare and file annual reports and other corporate filings across U.S. and international jurisdictions.

  • Board and Governance Support: Assist with the preparation of board and committee materials; draft minutes, consents, and resolutions; manage board portal content.

  • Subsidiary Management: Coordinate formation, dissolution, and reorganization of subsidiaries; ensure proper governance practices across the corporate family.

  • Regulatory Filings: Prepare and submit filings with the SEC (e.g., Section 16, Form 4s), state agencies, and other regulatory bodies under attorney supervision.

  • Corporate Transactions: Assist with M&A due diligence, closings, and integration tasks; organize data rooms and prepare closing binders.

  • Compliance Support: Help implement and monitor internal compliance programs, policies, and trainings (e.g., Code of Conduct, insider trading policy).

  • Policy and Procedure Maintenance: Help draft, update, and communicate corporate policies and standard operating procedures.

  • Cross-Functional Collaboration: Work with tax, finance, compliance, HR, and other departments on corporate legal matters, as well as liaise with registered agents, government agencies, and external counsel on corporate filings and legal matters.

Qualifications:

  • Bachelor’s degree and/or Paralegal Certificate from an ABA-approved program.

  • Minimum of 3–5 years of corporate paralegal experience, ideally in an in-house legal department or law firm. 

  • Strong knowledge of corporate governance and entity management. 

  • Excellent organizational, communication, and analytical skills. 

  • Proficiency in Microsoft Office Suite and legal software tools (e.g., Diligent, CSC, or similar entity management systems).

  • Ability to handle confidential information with discretion.

  • Comfortable working independently and managing multiple priorities.

Preferred Qualifications:

  • Experience in a publicly traded company or regulated industry.

  • Familiarity with SEC filings.

  • Notary Public designation is a plus.
