Job description

Work Flexibility: Remote

What you will do:

As our Senior Corporate Governance Specialist, you will assist Stryker’s Global Legal and Compliance team in the maintenance and oversight of Stryker’s global subsidiaries as a general corporate governance specialist.

  • Assist in the management of Stryker’s global legal entities’ governance including, responding to information requests, holding meetings, appointing board members, and ensuring legal compliance.

  • Maintain information database of companies within the Stryker organization, including leading legal entity database trainings and performing annual audit and database updates.

  • Prepare and review legal entity formation and compliance documentation, including corporate qualifications, name changes, new legal entity formation, merger, dissolution and related matters.

  • Perform substantive and critical review of documents, such as consents, resolutions, certifications, and minutes requiring signature of corporate officers.

  • Improve document review and execution processes across the global enterprise, coordinating with local and divisional finance, tax, and legal personnel involved in the various processes that impact the standing and governance of legal entities.

  • Support the treasury and tax functions with legal review of Know Your Customer and Anti-Money Laundering Requests and intercompany funding documentation for dividends, loans, and hedging transactions.

  • Exercise judgement to ensure documents requiring further attention are escalated to attorneys within the legal department.

  • Oversee the coordinated execution of various legal documents.

  • Perform other functions within the Corporate Secretary function as requested.

What you need:

Required:

  • 2+ years of relevant experience with a Bachelor's degree or 8+ years of experience plus a high school diploma.

  • 1+ years of experience using computer systems and programs such as the Microsoft Office suite, Adobe Acrobat Pro, and ability to learn Stryker-specific systems.

  • 1+ years of experience using knowledge of corporate governance and legal entity management requirements.

Preferred:

  • 1+ years of experience using a legal entity management systems, such as hCue, Diligent Entities, and GEMs preferred.

$77,200 - $160,800 $salary plus bonus eligible + benefits. Actual minimum and maximum may vary based on location. Individual pay is based on skills, experience, and other relevant factors.
