Job Description:

dentsu is looking for an enthusiastic self-motivated Commercial Contract Manager who thrives in a fast-paced environment and will help foster a culture of compliance and risk awareness within the organization.

As a Commercial Contract Manager, you will report to the VP Americas Client Contract Compliance and Risk Management and will be responsible for the development and maintenance of a global contracts library across various service lines, ensuring compliance obligations in client contracts are met on a timely basis, ensure processes are in place to do so, creating and ensuring processes are in place to support our teams globally on strategy, meeting contract obligations and execution.

The candidate is comfortable performing a wide range of tasks from strategic to administrative. The successful candidate will also demonstrate strong organizational skills and attention to detail along with the ability to manage multiple projects and the flexibility to adjust to competing priorities.

The candidate will help facilitate the management of a broad range of contractual and other business documentation, will interact with all levels of leadership to see contracts from a post-contract execution and documentation position including reporting, deadlines, requirements and special ad hoc requests from clients, and can manage the commercial and legal aspects of a contract with the main goal of ensuring client satisfaction.

This candidate will help plan, develop, and deliver training programs to promote understanding and adherence to compliance policies and risk management protocols. This candidate will also help proactively identify and mitigate potential risks and issues related to contract compliance, working closely with many stakeholders throughout the company to implement preventive and corrective measures.

This candidate will be a high-level collaborator with our cross-functional teams, including Legal, Finance and Commercial to ensure alignment and adherence to contract compliance requirements and best practices across various service lines.  We are also looking for a candidate confident in providing recommendations for process improvements and enhancements.

Contracts Library and Contract Management

  • Curate, collect and keep current a contract library across service lines for priority clients, ensuring accurate and accessible documentation of contractual agreements, amendments, and related materials. You will serve as the knowledge owner for all work processes and systems.
  • Develop new tools/documents/templates where a current gap exists
  • Partner with internal teams to leverage industry best practices to develop driving standardization and productivity
  • Create standards and processes that are used across service lines and globally for strategy creation/communication and benchmarking
  • Manage complex redlines and negotiations with clients and orchestrating internal approvals while coming to the conversations with recommendations on strategy
  • Deep dives into contract clauses and creation of playbooks and drafting best language provisions in negotiations and RFPs
  • Build and map contracts library that house various service lines agreements including amendments and statements of work and will track requirements in agreements
  • Collaborate with service lines to fully understand the products and/or services being provided and track towards a consistent process
  • Assist in maintaining a centralized repository of legal documents

Client Contract Compliance

  • Foster a culture of compliance and responsible for client contract compliance for our large enterprise clients
  • You will be very active in client activity across all service lines and ensure compliance requirements are met, including deadlines, reporting and tracking contract goals and obligations
  • Creation of compliance trackers, mapping of contract clauses and setting reporting timeline schedule to match obligations

Relationship Building with Enterprise Clients

  • Establish positive and productive relationships with contract requestor(s), service lines, and senior leadership involved in contract process
  • Build strong relationships and ensure client satisfaction with contract compliance
  • Provide a high-quality service level to all internal and external customers ensuring accuracy, efficiency, and interpretations of contract language, as needed
  • Coordinate reporting and archiving of all contract documents
  • Map out deadlines for quarterly and annual reporting ensuring documentation of past reports and set a process for future collection of information

Audits

  • Involvement with global external audits around large enterprise clients
  • Participate in internal audits – i.e. checks and planning on internal controls and frameworks for best practices
  • Participate and liaison with external auditors to verify contract compliance to facilitate and understanding audit activities, ensuring timely and accurate responses to audit findings and providing strategies and ideas for additional improvements

Internal control framework and health checks

  • Participate in global conversations and US specific goals surrounding controls and compliance for service lines
  • Planning and strategy by orchestrating calls with stakeholders and understanding processes in place and how to improve on processes.
  • Ensure the identification of opportunities to minimize contract risk and coordinate commercial risk mitigation measures
  • Monitor and recommend adjustments to commercial strategies, position statements, and contractual terms based on audits, market conditions, and changes in law
  • Help orchestrate internal measures and controls to ensure compliance with the obligations of contractual agreements

Risk Management

  • Prepare contract/commercial risk assessments and deliver contract briefings to business unit/service line leadership, as required

Qualifications

  • Bachelor’s degree in Finance, Communications, IT, Paralegal, or related field. 
  • Law degree not needed but preferred
  • Minimum of 5 years’ experience in contract development, compliance, audit, procurement, project management, risk management, vendor oversight, negotiation, finance, law, business, or combination thereof.  Legal experience a plus
  • Advanced working knowledge of the Microsoft Office Suite (e.g. Word, Excel, Forms and PowerPoint, including PDF to Word conversions), and with contract management applications (i.e. Salesforce)
  • Understand Google, AWS and Microsoft AI and copilot technologies
  • Ability to communicate via telecommunication and video calls (phone calls, IMs, emails) as well as in person.
  • Stay current and interested and conversational on relevant industry regulations, AI, best practices, emerging trends related to contract compliance.
  • Professional demeanor and judgment
  • Flexible and able to pivot to and from different projects and able to work on deadlines.
  • Adaptability and ability to respond to direction and feedback as needed
  • Strong ethics, integrity, and values including ability to maintain confidentiality with respect to agreement contents and other highly sensitive business matters and projects required
  • Possess the ability to adapt to changes, delays, or unexpected shifts in priorities while maintaining focus and productivity in a high-volume environment required
  • Basic understanding of contract law, types, terms and conditions, legal requirements, and negotiation process
  • Proficiency in understanding contract language without the assistance of content management tools and/or software
  • Ability to prioritize and complete daily workload and projects with minimal supervision and in accordance with deadlines and shifting priorities
  • Ability to interact professionally with all levels of management, multiple geographies, internal subject matter experts, legal staff, vendors, and clients
  • Ability to synthesize information from a variety of sources and present it in a meaningful and concise way

The anticipated salary range for this position is ($68,000-$110,400). Actual salary will be based on a variety of factors including relevant experience, knowledge, skills and other factors permitted by law. A range of medical, dental, vision, 401(k) matching, paid time off, and/or other benefits also are available.
