Overview

As an Associate General Counsel for our EMEA region, you report into our Rithum’s General Counsel (with direction from the Deputy General Counsel and other lawyers on the team) and work cross-functionally with executives and stakeholders across all company departments with a focus on supporting Rithum’s sales and human resources teams and assisting with corporate maintenance matters in EMEA and other non-US regions. In this role, you bring a strong background in commercial technology sales transactions (SaaS and licensing in particular), and in employment law supporting a global human resources department. To be successful in this role, you need to work effectively in a fast-changing environment with a high degree of independence.

 

Responsibilities

  • Negotiate, draft, analyse, review and manage a wide range of commercial agreements and related materials, including contracts for the company’s B2B SaaS offerings, technology agreements, strategic partner agreements, confidentiality agreements, procurement agreements, and other legal documents to meet company objectives.
  • Provide legal support to Rithum’s People team on recruitment, employment, and benefits matters, including drafting and reviewing offer letters, employment contracts, confidentiality agreements, separation agreements, compensation plans and related materials. This also includes legal support for employee relations matters, grievances, disciplinary actions, and workplace investigations, while minimizing legal risks and maintaining adherence to internal policies.
  • Assist in improving, refining, and maintaining processes, policies, and agreement templates to address and bring greater efficiency to addressing recurring and anticipated needs; advise on compliance matters; and monitor and advise on changes in laws and regulations affecting Rithum’s business.
  • Assist in maintaining corporate records, entity reporting, and annual audit matters in compliance with applicable laws and regulations for jurisdictions outside of the USA.
  • Support in-house counsel in data privacy and data security matters (e.g., GDPR compliance, security questionnaires, data protection agreements, privacy framework submissions, DSAR requests, etc.).
  • Work closely with local counsel and teams across the company, including sales, finance, marketing, product, and engineering to provide practical legal and business advice across multiple jurisdictions (primarily England, Spain, Ireland and Australia currently).
  • Conduct various legal projects and other duties as assigned (may include work in areas of procurement, real estate, international compliance, risk management, dispute resolution, and other matters).

 

Qualifications 

Minimum Qualifications  

  • 8+ years of relevant post-qualification experience with a law firm and/or in-house legal teams, supporting global business operations, with heavy emphasis on analysing, interpreting, drafting and negotiating contracts and other legal documents.
  • Qualified Solicitor in the UK
  • Excellent verbal, written, analytical and persuasive skills (including contract drafting and negotiation) and the ability to interact effectively with all levels of employees and management.
  • Tech-Savvy
  • Must be resourceful, inquisitive, and driven to develop expertise in other topics to meet the needs of a dynamic business and legal department.
  • Strong organizational skills to manage multiple projects with shifting priorities, with attention to detail.
  • Flexibility and reasonable availability to provide legal support off-hours where needed for offices in different time zones.
  • Must demonstrate superior interpersonal skills and the ability to work effectively in a social and highly collaborate office environment.
  • Demonstrate maturity and comfort working with senior management.
  • Fluency in English, both oral and written, is essential. Proficiency in other languages (especially Spanish) is also a plus.

Preferred Qualifications 

  • Experience in the SaaS and eCommerce sectors is highly preferred.
  • A proactive, solutions-oriented mindset with a strong sense of business acumen.
  • Juris Doctor (JD) from an accredited law school, strong academic credentials and active bar membership in good standing.
