Job description

Position Summary

The Associate General Counsel assists in protecting Allied’s legal interest and maintaining its operations within the scope established by law. The Associate General Counsel will be responsible for a broad array of substantive legal areas. Working both independently and in collaboration with other departments, the Associate General Counsel will provide high quality legal advice. Provides hands-on counsel to all levels of senior staff. Identifies and analyzes legal issues, drafts key documents, and presents clear recommendations to top management.

Essential Functions

  • Serves as the assistant to Allied’s General Counsel by providing general legal advice or consultation.
  • Reduces the likelihood for inappropriate, unnecessary, or costly company liability in contractual agreements and terms or business arrangements by reviewing, revising and/or preparing contracts and other legal documents for execution by Allied.
  • Reviews contracts as required by enterprise stakeholders and ensures stakeholder accountability to the contracting process.
  • Provide consultative legal advice to all departments across the enterprise, including leadership.
  • Proactively prepare and recommend terms for contracts to align with best practices, applicable legal requirements, feedback from internal and external stakeholders, and other relevant considerations
  • Performs legal research with respect to any legislation governing employee benefits (ERISA, the Affordable Care Act, COBRA, HIPAA, etc.), and provides guidance and training as to compliance-related matters.
  • Regularly monitors updates and changes with respect to legislation governing employee benefits and drafts regular communication pieces as to the same.
  • Ensure Allied’s goals and objectives are achieved according to corporate compliance standards, rules, regulations, and laws.
  • Portray legal knowledge by offering legal advice and recommendations during legal investigations.
  • Proactively identifies areas of legal exposure/risk and provides recommendations as to mitigate such exposure/risk.
  • Manages discreet, but very detail-oriented, projects with little supervision.
  • Contributes to the overall success of Allied by performing other duties and responsibilities as assigned.

EDUCATION

  • Juris Doctor (JD) degree from an accredited law school is required.

Experience And Skills

  • Membership in a state bar is required.
  • A minimum of three years of experience while practicing law, working at a law firm, or in any legal position in an organization is required.
  • Experience in employee benefits involving group health plans is highly desired.
  • Must possess excellent analytical skills to analyze information from various perspectives.
  • Excellent oral and written communication skills required.
  • Great interpersonal skills are needed to effectively manage the legal needs of any department.
  • Crucial problem-solving skills are needed to evaluate legal issues quickly and accurately while offering expert legal advice.
  • Must be able to operate autonomously while being a team player who brings a positive attitude to the workplace and works collaboratively with other members of the Legal Department and with internal clients.
  • Intermediate level Microsoft Office experience including Word, Excel, Adobe, PowerPoint.
