Position Summary:

The role of Corporate Counsel contributes to our growing in-house legal team and works on complex issues in a dynamic and fast-paced environment. This position reports to the Senior Counsel. Corporate Counsel provides legal advice to operating teams throughout the organization on a broad range of topics related to the company’s business and operations with a primary focus on supporting AmSurg’s information technology (IT) department and may assist with other contract matters related to the procurement of indirect goods and services, as needed.    

Work Schedule: This role is offered on a fully remote basis allowing the Corporate Counsel to be based anywhere in the country.

Essential Duties and Responsibilities:

  • Drafts and negotiates contracts as well as proactively handles various transactional matters related to areas of IT procurement, including service agreements, product agreements, statements of work, non-disclosure agreements, contract amendments, and proactively handles various transactional matters related to areas of IT Procurement (including professional service agreements, Software-As-A-Service (SAAS) agreements, license agreements, statements of work).
  • Conducts legal research and analysis to provide recommendations and prepares written opinions and guidance for management teams and other internal clients.
  • Responsible for providing legal advice and making decisions related to legal matters which could have a large financial impact on the company, including areas involving compliance with laws, contracting, litigation, privacy and security, and supplier relationships among others.
  • Advising on data security, privacy, and AI issues.
  • Assists other company attorneys, compliance teammates and business partners in spotting and resolving legal, regulatory and compliance matters to ensure activities and operations are carried out in compliance with local, state, and federal regulations and laws governing the business.
  • Develops and improves templates and procedures to drive efficiencies in the legal review process, especially in Counsel’s area of focus.
  • Assists with special projects and performs other job-related duties as assigned.
  • Acts as a liaison between management and internal or external legal experts on matters beyond AMSURG Corporate Counsel’s core substantive expertise.
  • Clearly explains contract terms to clients and how they affect the business.
  • Reads and abides by the company’s code of conduct, ethics statements, employee handbook(s), policies and procedures and other corporate mandates, including participation in mandatory training programs.
  • Demonstrates commitment to the company’s corporate compliance program, policies, and procedures by exhibiting the company values and acting in accordance with any reporting policies of the company.

Qualifications

To perform this job successfully, an individual must be able to perform each essential responsibility satisfactorily. The requirements listed below are representative of the knowledge, skills and/or abilities required:

  • Working experience in IT Procurement business, including but not limited to the impact of other functions (regulatory, manufacturing, operations, sales, compliance, etc.).
  • High-level analytical, communication, and interpersonal skills.
  • Excellent attention to detail and strong project management and organizational skills
  • Experience in negotiating Professional Services, Produce Agreements, Telecom, Hardware, On-Premise Software, and Software-As-A-Service (SAAS) contracts, AI contracting experience.
  • Experience with implementing and working within a contract management system (such as IronClad, Aline, Juro, etc.).
  • Demonstrated ability to work under pressure, manage a variety of projects simultaneously, meet aggressive deadlines and successfully handle urgent situations with patience and diplomacy.
  • An agile and flexible thinker, with the ability to learn emerging areas of the law and the business quickly.
  • Ability to function independently and as a part of a team.
  • Ability to build credibility quickly and provide strong legal support for a complex and challenging business, while positively and successfully managing relationships within a diverse group of stakeholders.

Education/Experience

  • Licensed Attorney holding a J.D.
  • 5+ years’ experience as described in a healthcare environment.
  • IT/Technical contract or law review experience.
