Summary of Role:
Raytheon UK’s Legal, Ethics and Global Trade organisation, which forms part of the Raytheon’s Strategy & International Legal Team, is seeking a Legal Counsel with a strong background in commercial contracts, defence procurement, corporate governance and/or company secretarial matters. 
 
This position will primarily involve supporting Raytheon UK’s our core business areas to provide strategic and tactical legal advice across a wide spectrum of commercial contract and defence procurement issues.
 
Additionally, this position may, from time to time, support the Raytheon UK and Raytheon (US) Legal, Contracts & Compliance (LCC) team with company secretarial and corporate governance related matters.
 
The position will work closely with other Raytheon UK Legal, Ethics & Compliance, Raytheon (US) LCC, and RTX corporate LCC colleagues, as well as business partners in many other parts of the organisation, including our colleagues in commercial & subcontracts, mission areas, supply chain, people services, finance/tax, security, digital technology, facilities, corporate governance, ethics and compliance and global trade. The successful candidate will be key in supporting Raytheon UK, Raytheon and RTX pursuits and initiatives.
 
Responsibilities include but are not limited to:
  • Providing legal advice and strategic guidance to the various business areas, including in respect of the drafting, negotiation and amendment of high value, high risk and bespoke contracts, NDAs, teaming agreements, complex framework agreements, statements of work, standard purchase order terms and conditions and subcontract agreements.
  • Occasional dealing with contractual legal claims and disputes (with appropriate support from external counsel).
  • Contributing strategic advice and assistance to bid activities, including preparing contract term analysis memoranda and attendance at approvals/review meetings throughout various stages of the bid.
  • Partnering directly with our commercial and subcontracts colleagues to support and advise them on the review and negotiation of agreements with customers and partners, as well as developing relationships with other key functional stakeholders.
  • Working with the Heads of Legal within Raytheon UK to enable the proactive identification of contractual legal issues at an early stage and delivery of pragmatic and executable advice.  
  • Working collaboratively with the Raytheon UK and wider Raytheon LLC to ensure successful governance/compliance with corporate policies and procedures.
  • Deputising for Heads of Legal for business areas as required.
  • Where required, managing outside counsel and other third-party advisors within company-established budgets.
  • Filing of confirmation statements/annual report and accounts at Companies House on time, updating directors and officers and liaising companies house regarding corporate queries, accessing information and documentation, filing extensions and web-filing.
  • Quarterly review and verification of relevant Raytheon entities to ensure corporate information, including share capital, is kept up to date.
  • Maintaining corporate registers for all relevant entities.
  • Drafting all corporate documentation to include power of attorneys, written/board and committee resolutions and meeting minutes to ensure compliance with articles of association and ensuring execution (signatures, witnessing, notarisation and/or apostillition) in line with corporate and legal requirements.
  • Advising on requirements of articles of association.
  • Attending relevant UK and non-UK parent and subsidiary board and committee meetings and project managing ongoing matters between board meetings.
  • Negotiating terms, drafting and finalising, and executing directors’ agreements.
  • Liaising with Raytheon (US) LCC and RTX corporate team members, including corporate governance and tax teams, to ensure adherence to corporate policies and alignment with enterprise-wide processes and procedures.
  • Being a valued proactive team member within the Raytheon UK Legal, Ethics & Compliance team with responsibilities which include supporting the development and maintenance of processes and procedures utilised by the Raytheon UK Legal, Ethics & Compliance team and other functions; driving team improvement projects; identifying and responding to changes in regulations/ legislation and creation and delivery of knowledge development content.
 
Experience and Qualifications:
  • UK qualified solicitor with at least 2 years+ post qualification experience (gained either in-house or in private practice).
  • Demonstrated relevant legal experience in commercial contracts and company secretarial matters.
  • LL.B. from an accredited university in the UK.
  • Be a member of the Law Society/The Legal Services Board/the Bar Council.
  • Enthusiasm for collaboration with stakeholders and contributors from multiple levels of the organisation, and foster positive working relationships with peers, internal clients, and external customers.
  • Demonstrated ability efficiently to identify risks associated with commercial transactions, while retaining the ability to think and work proactively, strategically and creatively.
  • Familiarity with UK corporate governance and operational requirements.
  • Excellent writing, drafting, interpretation, and negotiating skills.
  • Proactive attitude combined with a high degree of ownership, sound judgment, and meticulous attention to detail.
  • Excellent interpersonal and communication skills, including for internal and reports, and executive level briefings.
  • Ability to interact effectively, collegially, and collaboratively in a team environment with multiple levels of the organisation and cultivate/maintain strong relationships with personnel within cross-functional teams, peers, internal clients including executives, and external customers.
  • Ability to learn quickly and work independently with minimal supervision in a remote working or office environment (depending on candidate preference).
  • Well-organised, with strong project management skills and the ability to prioritise and manage a varied workload and drive issues to timely conclusion, provide timely responses, and set/manage deadline expectations.
 
Desirable Skills:
Experience advising and counselling in the aerospace and defence sectors or in high-tech industries.
