Job Scope and Accountabilities:
SAI360 is seeking a practical, business-minded, and solution-oriented legal professional to serve as Legal Manager. This role is ideal for a mid-level in-house counsel or a commercial lawyer with strong contract negotiation experience, looking to take ownership of all legal functions in a dynamic, private equity owned SaaS company.
As Legal Manager, you will be responsible for managing a broad range of legal matters, with a primary focus on customer contracts and commercial transactions. You will work closely with leadership across the organization to support sales, operations, HR, procurement, and compliance, ensuring that legal processes are efficient and aligned with business objectives. This role is well-suited for someone who is eager to grow into a leadership position and take on increasing responsibility in a fast-paced, global environment.
Key Responsibilities
Commercial Contracts & Transactions (Primary Focus)
· Draft, review, and negotiate a variety of agreements, including SaaS contracts, customer agreements, reseller and distribution agreements, licensing contracts, NDAs, and vendor agreements.
· Guide business teams on contract terms, risks, and mitigation strategies, ensuring alignment with company policies and business objectives.
· Provide clear, practical legal advice to sales, finance, and customer success teams to enable efficient contract execution while protecting the company’s interests.
General Corporate & Legal Advisory
· Ensure compliance with applicable laws, regulations, and industry standards across global operations.
· Assist in the development and enforcement of corporate policies, procedures, and compliance programs.
· Support corporate governance, including entity management, corporate filings, and record-keeping across multiple jurisdictions.
· Serve as a key legal advisor for employment, marketing, privacy, and technology matters as needed.
· Provide guidance on data privacy laws, including GDPR, CCPA, and other relevant regulations affecting SaaS operations.
Risk Management & Dispute Resolution
· Identify legal risks and propose practical solutions to protect the company’s interests.
· Handle pre-litigation disputes and support resolution strategies, engaging outside counsel when necessary.
· Partner with internal teams to proactively manage risk in commercial transactions and day-to-day operations.
Cross-Functional Collaboration & Leadership
· Work closely with executive leadership, sales, finance, HR, marketing, and operations to support business goals.
· Serve as the primary point of contact for external counsel, managing outside legal resources effectively and cost-efficiently.
· Help streamline and improve legal operations, developing playbooks, templates, and scalable processes to enhance efficiency.
Qualifications and Experience Required:
· Juris Doctor (JD) degree from an accredited law school.
· 3+ years of legal experience, with at least 1-2 years in-house (preferably at a technology or SaaS company).
· Must be licensed to practice law and in good standing with a relevant state bar.
· Strong experience in commercial contract negotiation and drafting, particularly for SaaS, software licensing, and technology agreements.
· Familiarity with data privacy regulations (e.g., GDPR, CCPA) and general commercial law.
· Experience working in a global or multi-jurisdictional environment is a plus.

As required by applicable Pay Transparency laws, the base salary range for this position is $140,000 - $160,000 plus opportunities for bonuses or commission. Exact compensation may vary based on skills, experience, and location.
