Job description

The Legal team at Chainalysis advises both internal and external stakeholders on the forefront of cryptocurrency and blockchain data analytics in a constantly evolving landscape. Our job is to ensure the company continues its rapid growth by employing sound and risk-based judgment to support operations around the company and influence a groundbreaking industry as it matures and becomes more widely adopted.

As Associate Corporate Counsel, you will be integral in scaling the Corporate Legal function and advising the company on a variety of matters including strategic transactions, equity, corporate governance and compliance, global expansion, and investor relations.

In this role, you’ll:

  • Collaborate with Corporate Counsel on all matters related to corporate governance and compliance, including in connection with Board and Committee meetings and ensuring compliance with policies and organizational documents
  • Advise on important strategic transactions, including M&A transactions, partnerships, financings, and equity transactions
  • Support corporate development initiatives and and general corporate matters
  • Collaborate with Equity team to maintain the company’s capitalization table and to advise on matters related to equity compensation practices and the company’s equity incentive plan
  • Collaborate with Finance team on matters related to investor relations and internal controls
  • Oversee the company’s entity and subsidiary management program, including assisting on global expansion efforts
  • Prioritize internal client satisfaction, while promoting scalable processes and procedures
  • Collaborate with other members of the Legal team and other teams with respect to the overall legal and compliance functions of the company
  • Gain a solid understanding of Chainalysis’ risk appetite and provide commercially astute, risk-appropriate decisions
  • Develop a strong understanding of Chainalysis’ products, services and business model

We’re looking for candidates who have:

  • A juris doctorate and 2-4 years of experience from a top-tier law firm or company in the SaaS, data services or technology industries related to corporate matters, including corporate governance, M&A, securities, or other transactional work
  • Member of a U.S. state bar in good standing
  • Excellent attention to detail, organizational skills, critical thinking skills, and judgment
  • Experience advising companies through the execution of complex corporate transactions
  • Judgement to anticipate and mitigate risk, and to know when and how to escalate issues
  • Proven ability to own tasks and work independently, as well as collaborate with others across the company
  • An independent, patient, and thoughtful demeanor while being adept at managing shifting priorities in a demanding, fast-paced environment

Nice to have experience:

  • Experience advising executives at high-growth technology companies
  • Familiarity with or an interest in the cryptocurrency and blockchain industry
