Description 

Apryse is looking for an experienced, self-motivated, approachable, and business-savvy technology lawyer with a solid understanding of intellectual property law to join our in-house legal team and support Apryse’s growing software business. 

The ideal candidate learns quickly, thrives in a dynamic environment and is passionate about delivering exceptional legal work in an efficient, proactive and pragmatic manner.  The candidate will play an important role in Apryse’s legal department and business, supporting our compliance team, IP protection and enforcement efforts, sales efforts, contracting, strategic initiatives, integration of acquired companies and other day-to-day legal matters across our global organization.

Location

This role will be remote-first (work from home), but the candidate must be based in Ontario.

Responsibilities 

  • Draft and negotiate software license agreements, vendor agreements, reseller agreements and other commercial contracts.
  • Manage Apryse’s IP protection and enforcement efforts, including supporting compliance team with investigating and resolving suspected instances of misuse or infringement of our software.
  • Manage and maintain Apryse’s IP portfolio with support of external counsel
  • Provide day-to-day legal advice and pragmatically resolve issues that arise across the business.
  • Advocate for the interests of the business in commercial disputes and negotiations, which may include drafting demand letters and managing litigation with external counsel.
  • Work with legal and business stakeholders to develop and support processes for license compliance, contracting and other legal matters to improve efficiency, scalability and productivity.
  • Assist with drafting, updating and maintaining template license agreements and terms of service for new and existing products and company policies.
  • Work collaboratively and efficiently with external legal counsel where required.  

Requirements

  • Law degree from an accredited law school, licensed to practice law in Canada or the United States and a member in good standing with applicable bar association.
  • 6 to 9+ years of relevant post-call legal experience, ideally a mix of at a major law firm and in-house (ideally at a B2B software company).
  • Experience working with software licensing and technology-related transactions.
  • Experience supporting IP compliance, protection and enforcement efforts.
  • Strong negotiation skills with the ability to understand the interplay of legal and business terms, and to advocate a strong position while maintaining a positive relationship with the other party.
  • Creative problem-solver who can take a leadership role in matters they are engaged in and resolve complex issues in creative, efficient, and practical ways.
  • Ability to grasp legal and business issues and provide tailored advice in plain language to non-legal stakeholders.
  • Proactive, service-oriented attitude, strong interpersonal skills and the ability to build collaborative business relationships at all levels of the organization.
  • impeccable attention to detail, responsive, organized and able to self-motivate and work well independently and as part of a team in a dynamic environment.

Nice to haves

  • Experience working with and supporting sales teams.
  • Familiarity with open source software.
  • IP related litigation experience.
  • Proficiency in another language in addition to English
  • Experience with US government contracting.

The compensation for this position is commensurate upon experience, with a range between $165,000 - $215,000 CAD in on target earnings.
