We are seeking an experienced attorney to lead the legal services function and support the compliance program for our Clear Spring Health business unit.  Reporting to the Chief Executive Officer (CEO), Clear Spring Health, the General Counsel will be responsible for all legal matters for Clear Spring Health’s Medicare Advantage plans and its ancillary line of health products.  The position will serve as the primary legal advisor to the CEO and the business unit’s senior management team and boards of directors.  The General Counsel also will function as the organization’s HIPAA Privacy Officer. The position can be based in Park Ridge, IL, Zionsville, IN, or Waltham, MA.  Fully remote candidates may be considered if willing to travel periodically as required or necessary.

Responsibilities

The General Counsel will review and evaluate legal and compliance issues, ensuring that Clear Spring Health’s business and operations are compliant with applicable federal and state statutes and regulations, including Centers for Medicare & Medicaid Services (CMS) rules and regulations.  Specific responsibilities include:

  • Serve as the primary legal advisor to the organization to support its business strategy, mission, and values.
  • Proactively and practically solve legal issues.
  • Manage and coordinate external legal resources as needed.
  • Provide legal support for the organization’s compliance programs, including its Medicare Compliance Program, to ensure that Clear Spring Health’s activities adhere to applicable CMS rules and regulations.
  • Oversee the HIPAA privacy program.
  • Collaborate closely with other internal functions/departments (e.g., Risk Management, Finance, Actuarial, Compliance, Operations, Product, Sales, etc.) to effectively and promptly manage and resolve legal and compliance matters.
  • Provide periodic reporting to the CEO and boards of directors as directed or requested.
  • Ensure prompt and proper reporting of compliance matters to regulatory and enforcement agencies as appropriate and/or as required.
Qualifications

Minimum of 15 years of legal experience through a combination of law firm and/or in-house experience as a General Counsel or senior managing in-house counsel at a health plan, hospital, health system, or healthcare organization.  Significant healthcare law experience is required, including in the areas of healthcare business operations; third-party vendor contracting; privacy; business transactions, including joint ventures, mergers, acquisitions, divestitures, and financings; and healthcare regulatory and legal compliance.  The candidate must have a thorough understanding of federal healthcare law and applicable state insurance laws and regulations.

Skills/Knowledge/Competencies
  • J.D. from an ABA accredited law school
  • Licensed in the State where candidate is located
  • Demonstrated experience with health plans and managed care organizations is required
  • Demonstrated experience drafting and negotiating government-sponsored managed care contracts, commercial payor agreements, ancillary agreements, commercial contracts, and vendor agreements
  • Demonstrated experience with provider network issues, provider reimbursement and disputes, and network expansions
  • Expertise in a wide range of topics related to health care law, including CMS rules and regulations and the HIPAA Privacy and Security rules
  • Management experience is strongly preferred
