We are seeking a top 5% performer, an elite, missionary-minded leader, to join us as Director of Private Equity Legal. This role demands a dynamic, understated operator with the swagger and humility to drive all real estate private equity legal operations, extending across the Rex ecosystem, with thrift and exceptional savviness in service of our mission to catalyze human flourishing.
The Role
The Director of Private Equity Legal will lead and manage all legal affairs across our real estate assets, broader investment portfolio, and operational ecosystem. This is a hands-on, behind-the-scenes leadership role for a hustler with high business and street smarts, creative problem-solving abilities, and the resourcefulness to execute efficiently without over-relying on outside counsel. As part of a rapidly expanding ecosystem, the Director will shape legal processes and structures that scale while mitigating risks and eliminating the potential for permanent loss.
Key Responsibilities
Private Equity Legal Leadership:
- Structuring and Transactions: Handle structuring, 1031 exchanges, complex waterfalls, Joint Venture agreements, and all financing, purchasing, and selling transactions.
- Bank and Investor Negotiations: Lead negotiations with banks, investors, and opposing counsel, ensuring favorable outcomes.
- Legal Oversight Across Rex Ecosystem: Extend leadership to legal matters in non-PE businesses, including tech ventures and management operations, ensuring alignment with broader organizational goals.
Governance And Compliance
- Oversee and manage compliance with financial, legal, and regulatory obligations.
- Audit legal operations, prevent inefficiencies, and identify and mitigate litigation risks.
Litigation Management
- Directly manage ongoing litigation, coordinating with outside counsel as necessary to ensure cost-effectiveness and timely resolution.
- Strategize and implement measures to reduce future litigation risks.
Operational Excellence
- Ensure efficient and cost-effective legal processes, leveraging resourcefulness to handle legal matters internally where possible.
- Serve as legal advisor for the Rex ecosystem, delivering rapid, practical solutions to complex challenges.
Investor And Asset Stewardship
- Collaborate closely with the Private Equity Operations team to ensure investor needs are met and exceeded, with a focus on scalable reporting, transparency, and performance.
- Optimize legal frameworks to align with the mission of catalyzing human flourishing, ensuring all assets and investments contribute to broader community and environmental impact.
- Promote a culture grounded in timeless morals, aggressively promoting long-term shareholder interests with extraordinary savvy.
Experience
Ideal Candidate Profile:
- 5+ years of in-house legal experience within private equity, with expertise in multifamily real estate and full-cycle deal execution.
- Demonstrated success in handling structuring, financing, Joint Ventures, litigation management, and compliance with minimal oversight.
- Bar admission preferred, particularly in Florida or Texas.
Skills
- Full-Stack Legal Expertise: Deep knowledge of 1031 exchanges, waterfalls, JV agreements, NDAs, litigation management, and purchasing/selling transactions.
- Negotiation Savvy: Proven ability to negotiate effectively with banks, investors, and opposing counsel.

Compensation And Benefits
- Base Salary: $200,000 annually.
- Performance Bonus: 30% of base salary, tied to achieving operational and financial milestones.
