The Contracts and Compliance Manager is responsible for our contractor compliance team and ensuring our contractual agreements and compliance standards are expertly managed and upheld. In this dynamic position, you will utilize your expertise to oversee contract negotiations, monitor compliance adherence, and provide strategic guidance to support our business goals. Your contributions will be essential in maintaining the integrity and efficiency of our Independent Contractor (IC) operating model.

Individual tasks shall include but not be limited to the following:

Essential Duties and Responsibilities:
  • Oversee the IC Compliance team including responsibility for all tasks, processes, output and performance management.  
  • Assist department head with the management of legal matters for USPack, including but not limited to discovery, analysis, reporting, file monitoring, and liaising with external counsel and/or insurers. 
  • Develop, review, and negotiate all contracts to ensure compliance with company policies and legal requirements.
  • Oversee and/or participate in the end-to-end commercial contracting processes. 
  • Monitor contract performance and ensure all parties adhere to stipulated terms and conditions.
  • Review all commercial agreements, conducting risk assessments on terms and conditions, and recommend strategies and language for risk mitigation.
  • Draft contract amendments and ensure executed copies are received and maintained. 
  • Maintain an organized system for managing and tracking all contract-related documentation including terms and milestones.
  • Responsible for ensuring all relationships have executed contracts and, when required, SOW’s and/or SLA’s.  
  • Coordinate with all relevant departments to ensure alignment and compliance.
  • Notify cross functional teams of upcoming contract milestones including but not limited to, contract expirations/renewals, rate increases, etc.
  • Analyze contract data and prepare reports on contract status, compliance, and modifications.
  • Provide expert guidance on contract management processes and best practices.
  • Resolve conflicts and disputes related to contract terms and performance, including with external contacts.
  • Conduct regular audits to ensure compliance with contractual obligations and regulatory standards.
  • Stay updated on industry trends, laws, and regulations affecting contract and compliance management.
  • Assist in the development and implementation of contract policies and procedures.
  • Train and support team members and stakeholders on the IC operating model, contract compliance requirements and processes.
  • Additional duties as assigned.

  • Proven ability to draft, review, and negotiate complex contracts.
  • Familiarity with industry regulations and standards relevant to the logistics industry.
  • Ability to work independently and manage multiple projects simultaneously.
  • Demonstrated experience in risk assessment and mitigation.
  • Ability to maintain confidentiality and handle sensitive information.

  • Qualifications - Education, Experience, Certificates and Licenses:
  • Bachelor’s degree in Business Administration, Law, or a related field required.
  • Minimum of 5 years of experience in contract management or compliance roles.
  • Strong understanding of contract law and regulatory compliance standards required.
  • Proficient in contract management software and Microsoft Office Suite.
  • Experience in working with cross-functional teams and stakeholders.
  • Certified Compliance and Ethics Professional (CCEP) or equivalent certification is a plus.
  • Shift Days: Monday-Friday
    Shift Hours: 8:00AM-5:00PM (Available to work extra hours, weekends, and holidays preferred.)
    Pay Rate: up to $80,000 salaried
    Travel Requirement: On occasion as needed
