Commercial Lawyer

Position Title: Commercial Lawyer
Location: South Africa (remote)
Reports To: Legal Director

Job Summary
We are seeking an experienced, tech-savvy Commercial Lawyer with exceptional interpersonal skills and a strong background in contract law. This role involves providing strategic legal guidance, drafting and amending contracts, supporting business mergers, handling commercial disputes, and advising on procurement and public contracts. The ideal candidate will be diligent, solution-oriented, and skilled in working across a broad range of commercial legal matters, with a commitment to client service and innovation. United Kingdom based company with offices in the USA and France.

Key Responsibilities

General Legal and Contractual Support

• Draft, review, and amend various commercial contracts and legal documents to ensure compliance and mitigate risks.
• Advise internal clients and liaise with external parties on commercial issues and document drafting.
• Provide guidance on the application of the organizations constitution and relevant procurement laws.
• Support the Academy Transfer process, including the drafting and negotiation of Commercial Transfer Agreements.

Litigation and Dispute Resolution

• Assist clients with the litigation process as needed, focusing on pre-litigation dispute resolution.
• Anticipate potential legal concerns for clients and provide proactive legal advice.

Specialized Legal Advisory

• Provide legal advice on Public Contracts Regulations 2015, subsidy control, grant funding, and procurement law.
• Advise the organizations Digital Services department on a range of procurement and contract matters, including software licensing and communications provider roles.
• Support the Pension Fund on contractual matters, including discharge of functions and liability agreements related to pension administration.

Strategic Commercial Projects

• Engage in high-value, strategic projects across various sectors, from social care to ICT and construction.
• Collaborate on commercial reports, assist in client negotiations, and help drive key business initiatives.

Required Qualifications and Experience

• Juris Doctor (JD) or LLB degree from an accredited law school.
• Licensed to practice law, with active membership in the State Bar Association.
• Experience with commercial law contracts, preferably within a corporate or local authority setting, and knowledgeable of the Public Contracts Regulations.
• Strong client-facing skills, with proven experience in managing diverse and challenging legal matters.
