Working Location:

Description:

DOXA is seeking an experienced Corporate Attorney to join our legal team. This position will serve as a generalist, responsible for a wide range of corporate legal matters. The ideal candidate will have a solid foundation in corporate legal affairs, mergers and acquisitions, risk management, compliance, contract drafting, and will support the business in managing legal risks and obligations.


Key Responsibilities:

· Provide comprehensive legal counsel to the business on a variety of matters from simple to complex, including corporate governance, commercial agreements, employment law, and regulatory compliance.

· Ensure the company’s adherence to federal, state, and local laws, as well as industry-specific regulations, offering advice on best practices and policies to minimize legal risk.

· Draft, review, and negotiate a broad range of legal documents, including partnership agreements, vendor contracts, confidentiality agreements, and other key commercial contracts.

· Support M&A transactions, including conducting legal due diligence, assisting with negotiations, and advising on transaction structuring and integration.

· Identify and address legal risks in both routine operations and strategic initiatives, working closely with company leaders to ensure proactive risk management.

· Work collaboratively with departments and entities across the company to provide legal advice on business initiatives, helping ensure that business goals are met within a compliant legal framework.

Requirements


· JD from an accredited law school; active bar membership.

· 5-7 years of relevant legal experience, with a broad focus on corporate legal affairs, including legal compliance, contract negotiation, and business legal advice.

· Experience in mergers and acquisitions is preferred.

· Experience within the insurance industry including working with wholesale brokers or MGAs is also preferred, but not required.

· Strong communication skills, with the ability to convey complex legal concepts to non-legal audiences.

· Capable of managing multiple priorities in a fast-paced environment and providing practical legal solutions that align with business goals.
