The Director will play a crucial role within the Firm’s practice, specializing in tax services related to Merger & Acquisition (M&A) activities. This position requires extensive experience in coordinating M&A tax diligence matters, as the Director will lead and manage multiple M&A related tax engagements. Key responsibilities include overseeing due diligence projects, providing ancillary services for acquisitions by private equity funds and corporate buyers, and ensuring compliance with relevant tax regulations. The Director will collaborate with cross-functional teams to ensure the effective execution of tax-related aspects of M&A transactions, fostering strong relationships with clients and stakeholders. This role is integral to delivering high-quality advisory services and supporting the Firm's strategic objectives in the M&A space.

Responsibilities

  • Lead and manage M&A tax engagements, actively participating in due diligence projects related to acquisitions by private equity investor groups and strategic corporate buyers.
  • Conduct technical reviews of tax filings and tax data of varying complexity to ensure compliance and accuracy.
  • Provide tax diligence and structuring advice to clients as part of a multi-disciplinary team, addressing their specific needs during the M&A process.
  • Research and analyze complex tax issues to develop informed strategies and recommendations.
  • Draft and communicate findings in a clear, efficient, and timely manner, ensuring that clients are well-informed throughout the process.
  • Identify potential issues and recommend innovative solutions to complex client challenges, particularly in M&A-related contexts.
  • Delegate tasks effectively and manage assignments to deliver accurate and efficient outputs.

Additional Responsibilities

  • Perform administrative duties associated with the position, including billing and collections.
  • Direct, coach, and manage staff, ensuring they are well-equipped to handle their responsibilities.
  • Maintain familiarity with staff qualifications and review assignments for appropriateness.
  • Provide constructive performance feedback and on-the-job training to enhance team development.
  • Instruct and facilitate both internal and external training sessions to promote knowledge sharing and professional growth.
  • Actively pursue opportunities to provide additional services and participate in business development initiatives to expand the Firm's client base.
  • Undertake other duties as necessary within the scope of the practice to support overall objectives.

Requirements

  • Bachelor’s degree in Accounting; Master’s degree in Taxation preferred.
  • A minimum of 8 years of recent experience in a public accounting firm, with a proven track record of managing multiple tax accounting projects and client engagements, including directing and scheduling staff and managing workflow.
  • At least 2 years of relevant experience in the M&A/transaction services space, specifically in M&A tax due diligence, deal structuring, and post-acquisition planning.
  • Significant experience with various types of entity taxes, demonstrating a comprehensive understanding of tax implications across different structures.
  • CPA certification is required.
  • Strong multitasking abilities, with the capability to manage competing priorities effectively.
  • Excellent communication skills, both verbal and written, to convey complex information clearly and build relationships with clients and team members.
