Description

As Corporate Legal Officer you will provide confident counsel and efficient support to leadership and colleagues across teams within Meliore, on all corporate legal matters regarding Meliore's activities activities globally.

In this role, you will:

  • be part of the Meliore legal team and will report to the Legal Counsel;
  • be part of and collaborate closely with the Global Operations Team, including Grants and Contracts, IT and Finance;
  • provide legal advice and regulatory and compliance support to a number of Meliore teams and affiliates, globally.

This is an exciting opportunity for an experienced, curious, analytical and pragmatic legal professional who enjoys working in dynamic and diverse international settings.

This is a 12 month maternity cover appointment.

How You'll Contribute

  • Advise Meliore teams, its programmes and affiliates on corporate legal matters, providing clear analysis and recommendations across a number of jurisdictions globally.
  • First point of contact for any internal corporate legal requirements including:
    • Contracting and regranting. This includes supporting and advising colleagues in charge of grants, contracts and procurement on:
      • appropriate contracting/regranting/procurement procedures, including the review, advice and drafting of relevant internal policies;
      • reviewing and negotiating a variety of contracts, including but not limited to service contracts, NDA's,
      • reviewing and drafting contract termination letters;
      • drafting of bespoke contracts, terms and conditions, legal letters or other legal documents as required;
      • advising on and keeping up to date internal contract templates, including risk assessment when negotiating requested changes in standard contractual clauses.
  • Supporting the global expansion of Meliore and affiliates. This includes providing support to the Meliore Global Architecture team and advising on legal aspects related to the setting up and implementation of corporate infrastructure internationally.
  • Supporting Meliore teams, programmes, affiliates in technical legal issues (IP, Data Protection, Governance Compliance, Funder Requirements, Due Diligence, Sanctions Regimes).
  • Monitoring and advising on relevant corporate legal and regulatory evolution.
  • Manage, oversee and guide the work of two direct reports, namely the Junior Legal Officer and Paralegal Officer.
  • Manage a budget and select, retain and manage outside counsel as needed.
  • Design and implement guidelines, policies, processes and information sessions/training for team members on relevant corporate and contractual legal matters.
  • Perform other activities necessary to meet the objectives of the legal function.

Our ideal candidate has

  • You hold a university degree in law, or equivalent professional qualification, preference for familiarity with common law; international corporate legal support and contract management experience is an asset.
  • You have proven professional experience in relevant fields of law: corporate legal support and contracting, incl in non-profit area (grant-making a plus).
  • Additional working knowledge in the area of Intellectual Property, particularly in relation to digital media will be considered a plus.
  • You have experience managing a small team.
  • You have a strong interest in climate and the environment.
  • You are able to approach and communicate legal advice in a practical manner, suited to the needs of Meliore and in a way that is easily understandable to teams.
  • You are a true problem solver and have an analytical mind.
  • You are organised and have a keen eye for detail.
  • You act with integrity and discretion.
  • You have strong networking skills that enable effective collaboration with a diverse group of stakeholders.
  • You have excellent communication skills in English (both spoken and written), additional languages a plus.
  • A genuine interest in and passion for addressing climate change.
