Your day at NTT DATA
- There will be a high degree of autonomy within the role but ultimately working as part of the wider legal team and under the supervision and guidance of - and reporting to - the Senior Director, Legal, Global Construction & Power.
- The Senior Legal Counsel is an experienced professional with excellent experience, knowledge and understanding of power/energy and related regulatory law and permitting issues, preferably in multiple countries. This role provides legal advice and guidance for NTT GDC on a global basis and in all regions/countries on all legal issues relating to power/energy (and, where necessary, construction) within the business. There will also be a requirement from time-to-time to consider construction law and procurement advice (given the interplay between the business’ power contracts and construction timelines), but the focus of the role will be power/energy and related regulatory and permitting issues.
- The Senior Legal Counsel advises on global power and energy issues such as contracting methods and risks, evaluating potential means for improving global contracts and model forms, critical negotiations and terms of major transactions including regulatory and permitting issues, all power/energy-related procurement, PPAs and training for employees. The role will also need to consider green energy initiatives, NTT’s sustainability agenda, regulatory frameworks and permitting requirements/developments in the business’ key jurisdictions.
What you'll be doing
KEY RESPONSIBILITIES
- Provides legal support to business and/or operations on all forms of power/energy (and, where necessary, construction) contracting agreements, including (but not limited to) connection agreements, PPAs, heat & waste management, general contractor agreements, substation design & construction, equipment supply orders, OFCI procurement, LOIs & NDAs.
- Reviews, negotiates and makes amendments to legal terms and conditions in power/energy (and, where necessary, construction) agreements, including leading tender review processes for key business projects globally.
- Prepares legal reports on the status of legal matters.
- Liaising/collaborating closely with cross-functional GDC teams (including Procurement/Regulatory & Finance) on legal issues such as permitting timelines and CAPEX.
- Responsible for identifying/mitigating, risk presented by power/energy (and, where necessary, construction) contracts across NTT GDC to meet business CAPEX commitments.
- Responsible for handling related disputes.
- Advises company management on complex matters, using persuasion in delivering messages, with the ability to adapt style to differing audiences and often advises others on difficult matters, including potential risks in contractual, regulatory, compliance, financial, and legal areas.
KNOWLEDGE & ATTRIBUTES

- Strong fluent written and verbal English communication skills (preferably alongside German or another European language, although not mandatory).

- Data center industry experience a plus, but power/energy experience is compulsory.

- Applies experience and professional knowledge to develop and resolve complex issues in creative ways, to deliver distilled and robust legal and commercial advice.
- Strong and calm tactical decision-maker, handles unforeseen issues.

- Strong experience in contract drafting, commercial terms, and negotiations.
- Strong experience in power/energy contracts.
- Developed business acumen, and the ability to combine legal and business analysis and judgment in a practical manner.
- Recognizes cultural norms and practices in differing target regions.
ACADEMIC QUALIFICATIONS & CERTIFICATIONS
- Juris doctorate, bachelor’s degree in law, international diploma or relevant legal equivalent certification.
- Good command of standard IT platforms.
- Current member of the legal bar in good standing with relevant local governing organization.
REQUIRED EXPERIENCE
- Minimum five+ (5+) years relevant industry, private practice and/or inhouse experience, or relevant work.
- Job-related experience must be relevant for position.
PHYSICAL REQUIREMENTS
- Frequently move about inside and outside of data center / facility
- Remain stationary for long periods of time.
- Operate computer, peripherals, and other office equipment.
- Perform work during US business hours and time zones and flexibly across international timezones (as required).
WORK CONDITIONS & OTHER REQUIREMENTS
- Remote working.
- Exposure to varying temperatures and loud noises.
- Willingness to travel internationally as required (unlikely to be more than 2x annually).
- Perform work from a remote location with stable internet connection.
This is a remote position that requires reliable internet connection and electricity. A monthly stipend is provided to cover expenses associated with working remotely and use of a personal mobile device, if applicable.
NTT Global Data Centers Americas, Inc. offers competitive compensation based on experience, education, and location. Base salary for this position is $ 189,000.00 - $ 250,000.00.
All regular full-time employees are eligible for an annual bonus; payout is dependent upon individual and company performance.
