POSITION SUMMARY

The Governance Manager maintains the compliance function for member conduct at EO: coordinating a team of member leaders and staff colleagues to investigate, communicate, sanction, and track compliance to EO’s Code of Conduct and other governing documents. This position also plays a critical role in the training and education of Governance Chairs at the chapter level, in an effort to support chapters to manage EO’s culture and values locally.

 

The role of governance at EO is to foster a community of trust and transparency. We are evolving governance to become a resource to members and staff, and this role will be critical in accomplishing that.

 

This position often deals with confidential issues and information and the incumbent must exercise discretion and excellent judgment in handling these matters.

 

 

ESSENTIAL DUTIES AND RESPONSIBILITIES

  • Global Governance Responsibilities
    • Establish clear processes for investigations into member conduct and manage compliance once established
      • Maintain a database for tracking member conduct complaints and violations and a process for flagging those that should be escalated to regional Governance Directors
      • Develop information sharing protocols, so that all involved are clear on who needs to review and approve what documents, communications and decisions
    • Manage administration of the complaint and resolution process for all member conduct complaints sent into the global Governance Committee:
      • Manage and triage the EO Governance inbox
      • Work with the Senior Director of Governance to determine how each intake should be handled
      • Serve as the administrative lead on all investigations to ensure the investigative process is followed by members and staff – liaising with internal counsel and member leaders every step of the way
      • Preserve and collect relevant data and produce monthly reports on investigations for senior leadership
    • Lead the implementation of a new investigation tracking system
      • Work with EO technology team to support the configuration of new software system
      • Ensure all EO policies and investigation procedures are properly arranged in the system
      • Set up and manage investigation workflows
    • Administer governance checks for all EO Path of Leadership (POL) applicants
    • Ensure most up to date policies are published on EOnetwork.org and routinely monitor governance resources for accuracy and version control
    • Manage Global Governance Committee meetings, including:
      • Monthly meetings: scheduling, agenda setting in conjunction with Committee Chair and Senior Governance Director, write and publish meeting minutes
      • Annual In-person strategy meeting: manage planning and logistics

 

  • Chapter-Level Governance Responsibilities
    • Serves as the go-to global resource and support for chapter-level governance issues and questions
    • Develop training for chapter leaders on chapter-level governance
    • Lead the coordination of governance training at various global and regional meetings, including Global leadership Conference, Presidents’ Meetings, and regional leadership conferences
    • Lead the coordination of a training program for Chapter Conduct Committees (CCC)
    • Ensure chapter-level training materials are updated on an ongoing basis
    • Equip Regional Governance Directors with the tools needed to guide chapters on local governance matters

 

 

QUALIFICATIONS, SKILLS, AND KNOWLEDGE REQUIRED

  • Bachelor's degree or higher
  • 4+ years of experience working with a Board of Directors, and/or appointed committees
  • Excellent ability to work in matrix and cross-collaboration environments
  • Global experience in both profit and not-for-profit organizations
  • Working knowledge and experience with nonprofit governing documents and compliance requirements a plus
  • Project management experience
  • Exceptional written and verbal communication skills
  • Exercise confidentiality and discretion
  • Event and logistic experience
  • Ability to travel
