Prophix is currently recruiting a Senior Contracts Manager to add to our legal team. This role supports all contracting operations of the company, both vendor and customer-related. The Senior Contracts Manager is responsible for negotiating contract terms and conditions and collaborating with internal departments to ensure timely and effective solutions to legal issues. The ideal candidate will have experience with contractual issues in cloud services, on-premise software licensing, professional services agreements, and licensing technology to partners.

 

Contract Negotiation Including

  • Review and evaluation of all customer proposed terms and conditions
  • On nonstandard contracts, providing recommendations and negotiating directly with customer attorneys or procurement staff until consensus has been reached
  • Drafting contractual clauses to reflect such consensus
  • Serving as the point of contact for customers on contractual matters. Acting as contractual intermediary between customers and Prophix, ensuring timely review and approval/reconciliation of variation

Internal Legal Support, Including 

  • Contributing to establishment and maintenance of company contract policies,
  • Developing and implementing procedures for contract management and administration.
  • Maintenance of contractual records and documentation such as workflow of all contract correspondence, customer/partner contact information, contractual changes, status reports and other documents for all contracts
  • Guidance on contract matters to project managers or other operational staff, including supporting the training of new managers and other employees in contracting practices and procedures
  • Working with Finance to coordinate contractual insurance requirements and adherence to broader finance requirements
  • Provide mentorship and guidance to other team members to help grow the skill set on the team.

 

To succeed in this role, you will need a combination of experience, technology skills, personal qualities, and education.

Required Qualifications

  • Post-Secondary Degree with 5 to 7 years’ experience in the procurement/contract field; preferably in the software or high-tech sector
  • Comprehensive knowledge of contract law
  • Must be legally entitled to work in the country where the role is located. Must be able to travel to the United States, Canada and/or internationally, and have a valid passport.

Preferred Qualifications

  • Experience with Conga CLM and AI-based Legal tools preferred.
  • Strong leadership and interpersonal skills, be very detail oriented, have strong organizational and time management skills.
  • Excellent negotiation skills are critical for negotiating agreements with clients and partners.
  • Strong analytical skills.
  • Ability to meet critical deadlines and establish and maintain working relationships with Prophix personnel
  • Excellent verbal and written communication skills
