Position Overview

Netwrix is looking for a seasoned Contracts Counsel to join our legal team.   

What You Will Do:

  • Support the Director of Legal/Corporate Counsel and Contract Administrator in advanced contract and contract-related activities
  • Negotiate intellectual property and information technology software licensing contracts
  • Identify and assess legal and business risks, and escalate issues to in-house counsel as needed
  • Review, draft and negotiate non-routine contractual provisions in nondisclosure agreements, software licensing agreements, channel agreements, service agreements, statements of work, and amendments
  • Manage version control of all assigned contracts
  • Partner with Director of Legal/Corporate Counsel and business teams at all levels and across multiple functions to effectively identify and remedy contractual process issues
  • Work with Director of Legal/Corporate Counsel to advise business partners on potential legal risks while providing creative solution to support business goals
  • Support in-house counsel with special projects as needed.

 

The Contracts Counsel is responsible for the following:

  • Own advanced contract and contract-related activities, both for commercial contracts and procurement contracts.
  • Manage one (1) or more counsel or non-counsel contract support personnel.
  • Negotiate intellectual property and information technology software licensing contracts, including End User License Agreements and Cloud Services Agreements.
  • Identify and assess legal and business risks and escalate issues to in-house counsel as needed.
  • Review, draft and negotiate non-routine contractual provisions in nondisclosure agreements, software licensing agreements, channel agreements, statements of work, and amendments.
  • Manage version control of all assigned contracts.
  • Partner with Director of Legal/Corporate Counsel and business teams at all levels and across multiple functions to effectively identify and remedy contractual process issues.
  • Work with Director of Legal/Corporate Counsel to advise business partners on potential legal risks while providing creative solutions to support business goals.
  • Support in-house counsel with special projects as needed.

 

You are a strong fit for this role if you have:

  • 2-5 years’ experience with negotiating software contracts in a law firm and/or in-house setting, preferably with a focus on commercial negotiation, privacy, and data security (US and global privacy and security regulations).
  • Excellent contract review, drafting and negotiation skills.
  • Experience reviewing and drafting complex contract terms and conditions including software licensing, indemnification and limitation of liability, data security, confidentiality, and termination rights.
  • Strong verbal and written communication skills with ability to communicate with legal and business partners at all levels.
  • Extremely organized, thorough, and accurate with excellent attention to detail.
  • Ability to prioritize and manage multiple tasks and work streams to meet deadlines.
  • Team player with strong relationship-building skills.
  • Positive attitude with desire and initiative to develop and take on additional responsibilities.
  • Ability to conduct at work in an ethical, honest, professional, and confidential manner.
  • Proficiency in Microsoft Office 365 (Outlook, Word, PowerPoint, and Excel), Adobe Acrobat, SharePoint.  Lexion experience preferred.
