In-House Legal Counsel

Experior Financial Group Inc. is seeking an experienced In-House Legal Counsel with a strong background in both Canadian and USA legal practices, particularly within the financial services sector. This proactive and detail-oriented professional will navigate complex legal landscapes across borders, ensuring compliance with applicable laws and regulations while aligning legal strategies with business objectives. You will collaborate closely with senior management and stakeholders to promote best practices in legal compliance and risk management within the MGA/IMO framework.

Responsibilities:

  • Provide timely, practical, and clear legal advice to head office staff across various functions, including HR, compliance, international expansion, corporate governance, and risk management.
  • Provide timely, accurate, and relevant legal advice on a diverse range of business-related topics, with a focus on financial services and MGA/IMO regulations in both Canada and the USA.
  • Draft, review, and negotiate contracts with insurance carriers, distributors, third-party vendors, and other business partners. Ensure contracts are legally sound, aligned with company objectives, and compliant with applicable regulations.
  • Advise on corporate governance matters, including compliance with securities laws, regulatory frameworks in Canada and the USA, and internal policies. Support the company’s compliance programs and assist with audits, investigations, and regulatory reporting.
  • Provide legal support for the company’s international expansion efforts, including market entry strategies, regulatory approvals, and cross-border transactions.
  • Counsel the HR department on employment law matters, including labor disputes, hiring practices, terminations, employee benefits, workplace policies, and employee relations.
  • Assist with legal matters related to the company’s potential going-public process, including securities law compliance, public filings, and corporate restructuring.
  • When matters fall outside the scope of in-house expertise, act as a liaison between the company and external law firms. Oversee external legal counsel and manage outside counsel relationships.
  • Collaborate with senior management and staff to align legal strategies with organizational goals, leveraging expertise in both legal frameworks.


Qualifications:

  • Juris Doctor (JD) from an accredited law school is required.
  • A minimum of 5 years of substantial corporate law experience, preferably at a corporation within the Financial Industry with demonstrable expertise in both Canadian and USA law practices.
  • Extensive knowledge of financial services, including MGA and IMO operations, with a strong understanding of relevant regulatory requirements in Canada and the USA countries.
  • Experience with employment law is an asset.
  • Strong analytical skills to assess commercial, business, and risk-related issues from a legal perspective, with an emphasis on cross-border implications.
  • Extensive knowledge regarding the management and handling of company shares, with experience overseeing the submission of share documents and filings to the Ontario Securities Commission (OSC) and ensuring compliance with regulatory requirements.
  • Strong knowledge of either Canadian or U.S. federal and provincial/state tax laws and regulations is highly desirable. Familiarity with both Canadian and U.S. tax systems is a significant advantage.
  • Excellent drafting, communication, analytical, and organizational skills.
  • Exceptional attention to detail, requiring minimal oversight in reviewing work.
  • Self-motivated and proactive, with the ability to take initiative and operate independently with limited supervision.
  • Ability to collaborate effectively within a small team environment.
  • Highly driven with a strong inclination for proactive action.
  • Capable of thriving under pressure and demonstrating quick, sharp decision-making skills.
  • Experience in managing multiple priorities in a fast-paced, high-deal flow environment, overseeing transactions from inception to completion.
  • Must reside and be authorized to work in Canada.

Salary Range - $150,000.00 - $250,000.00 CAD annually

The compensation range reflects a data-driven estimate of starting base pay for full-time (40 hours per week) employment. Individual pay may vary based on geographic location, job related skills, knowledge, experience, education etc.
