Position Overview:
Reporting to the Portfolio Manager, Vencora is looking for a skilled Acquiring Manager to be primarily responsible and leading the entire M&A process from identifying, evaluating, and managing acquisitions of financial services software companies. This role combines strategic analysis, relationship building, and negotiation to ensure a smooth acquisition process that aligns with Vencora’s growth objectives. The Acquiring Manager will enable Vencora to meet its strategic long-term goals of being a leading financial services software organization by focusing on the end-to-end acquisition process from identifying opportunities to negotiating and closing transactions.
This leadership position requires continual interactions with both internal and external business leaders to drive alignment and ensure internal M&A processes and standards are adhered.
Job Description:
Duties and Responsibilities:
Primary duties and responsibilities will be focused, but not limited to, driving the completion of M&A transactions that ensures Vencora’s Capital Deployment goals are met on an annual basis. This will be achieved by the following:
Market Research & Sourcing
- Identify and develop acquisition opportunities within the financial services software sector primarily within Europe
- Work with the Corporate Development team to build and maintain a pipeline of potential acquisition targets through networking, industry events, and outbound sourcing
- Stay updated on industry trends, competitive landscape, and emerging technologies
Relationship Management
- Build relationships with founders, executives, brokers and stakeholders of target companies to foster trust and alignment
- Act as a primary point of contact throughout the acquisition process, ensuring a seamless transition to post-acquisition integration
Evaluation & Due Diligence
- Conduct initial assessments of potential targets, focusing on financial, operational, and strategic fit
- Work with the M&A execution team to coordinate due diligence processes, working with cross-functional teams (legal, finance, operations, etc.) to evaluate risks and opportunities
- Work with the M&A execution team to review financial models and forecasts to assess value drivers, overall valuation and returns
Deal Structuring & Negotiation
- Preparation, review and presentation of investment memos to the Vencora Investment Committee
- Lead negotiations on key deal terms and valuation for Indicative Offers, Letters of Intent, and Purchase agreements
- Collaborate with legal teams to draft and finalize transaction documents
Post-Acquisition transition
- Work closely with the integration team and acquired companies to ensure alignment with strategically planned goals and support monitoring performance
- Serve as a liaison between M&A and integrations teams to support growth and operational excellence
Candidate Key Selection Criteria
The ideal candidate will be a high-energy, hands-on team player with a solid background in successfully executing multiple M&A transactions. Candidates will be evaluated with a range of assessment tools and interview discussions related to the position description and the following requirements:
- Technical Expertise: Significant experience with industry, business, operational and acquisition processes. Solid knowledge of legal documentation, Excel, financial analysis, modeling, and financial accounting.
- Process and People Management: Has demonstrated an ability to manage a transaction process and its parallel workstreams, timelines and teams (both internal and external) with a focus on completing quality work and effectively meeting deadlines
- Communication: An excellent oral and written communicator with a keen sense of how to deeply connect with people and build trust. Internally, can engage people across the organization and foster buy-in to new ideas and concepts. Externally is an effective and credible spokesperson for Vencora
- Partner: History of being a business partner to a senior leadership team at predecessor employers. Strong drive to add value and proven ability to work in an entrepreneurial organization, and act as a true business partner. Has a reputation for adding value outside of his / her functional expertise, working together with the management team on important company initiatives. Able to prioritize, multitask and adapt effectively in accordance with changing priorities and deadlines.
- Character: Hardworking, high integrity individual with a common-sense approach. Balances a can-do attitude with a pragmatic approach to getting work done in a timely manner. Willing to roll-up their sleeves and do whatever it takes to meet objectives.
- Able to Travel: Willing and able to travel on a regular basis, at times up to 50% of your time to attend for industry conferences, meeting with targets, on-site due diligence and team meetings
Qualifications and Education Requirements:
- Experience as a Group Leader or BU Leader with experience in M&A at a CSI related company
- Bachelor’s degree in Business Administration, Finance, Economics, or a related field
- Proven experience (5+ years) in mergers & acquisitions, investment banking, private equity, or top tier consulting firm is beneficial
- Strong understanding of the vertical market software industry, including its dynamics and valuation methods
- Operations experience in running a vertical market software company would be preferred
- Excellent interpersonal and communication skills for building and managing relationships with various stakeholders
- Self-motivated, detail-oriented, and capable of managing multiple deals simultaneously
- Exceptional analytical skills with proficiency in financial analysis and creation of board level presentations
- Proficiency in English and other prominent European languages (German, French, Spanish, etc.,) preferred
Compensation
- Compensation will be competitive and commensurate with experience. A customized package, including base salary and target incentive bonus will be developed.
